The “heart shaped box” refers to a box given to Kurt by his wife Courtney Love, but it also refers to the female uterus as featured in the album’s title In Utero, Latin for “in the womb.”
I've heard that apparently the song is about Courtney. However, my own interpretation is that the song is about his mother, and the difficulty in being forever attached to someone who has hurt you. It's so easy to end up resenting your parents, and yet you're trapped in this maternal bond.
