When the Incredible Hulk movie was made, Marvel Studios was an independent studio, so they had to pair with a bigger studio for distribution. So Hulk was distributed by Universal since they had the rights, and the other characters that Marvel owned completely—Iron Man, Thor, and Cap—were distributed by Paramount.

My theory is this: Banner can already control The Hulk at the beginning of Avengers. This is shown when he is about to show his 'secret' to Black Widow the first time. They are then interrupted (I forget by what already) before he can show her (presumably, his instant transformation).
